Terms of use

What these terms cover, and what the contract covers instead.

1. Scope

These terms govern access to and use of this site, an informational showcase for idealsito (the «Operator»).

They do not govern the relationship with clients. Final amounts, deposits, delivery times, revisions, warranties and transfer of rights in delivered work are governed exclusively by the Development Terms of Business, a separate document submitted and signed for each engagement, which prevails over these terms in everything concerning the supply relationship.

3. Published prices are indicative

The site shows a starting price for a showcase website. That figure is an order of magnitude and amounts to a mere price-list indication, which under art. 7(2) of the Swiss Code of Obligations does not constitute a contractual offer; in any event the circumstances exclude any commitment under art. 7(1) CO. It creates no obligation to contract at that price.

The actual price depends on the number of pages, the content, the features required and any third-party services needed, and is communicated in writing in a specific quote before work begins. Only a written and accepted quote binds the parties. Prices shown are exclusive of tax.

4. The Operator contracts with businesses, not consumers

Services are offered to businesses, professionals and sole traders acting in the course of their activity. The Operator does not enter into supply contracts with consumers, and professional status is verified before the terms of business are signed.

That exclusion concerns the supply relationship, not browsing: anyone simply visiting the site keeps every mandatory protection the law affords them.

5. The projects shown are demonstrations

The projects published on this site are demonstration builds: they show the kind of site the Operator designs and builds, not engagements carried out for real clients. Names, brands and content appearing in them are fictional or used for illustration, and indicate no business relationship.

It is stated here, and on each project page, so that nobody has to infer it. When work carried out for real clients follows, it will be identified as such and published with their consent.

6. Intellectual property

The code, graphics, texts and visual elements of this site belong to the Operator or to those who licensed them, and are protected — to the extent they qualify as works under art. 2 of the Swiss Federal Act on Copyright and Related Rights (CopA; SR 231.1) — by that Act. Copying, reproducing, adapting or reusing them, in whole or in part, without written permission is not permitted.

Ordinary browsing is the exception: reading, printing for oneself, sharing a link to a page.

7. External links

The site contains links to third-party sites and messaging services. The Operator has no control over them and is not responsible for their content or for the data processing that takes place there.

8. Availability and liability

The site is provided as is, with no guarantee of continuous availability. The Operator may suspend, modify or discontinue it, including without notice.

Information published is provided in good faith and with care, but is general in nature and does not constitute advice. To the extent permitted by law, the Operator is not liable for damages arising from use or inability to use the site, nor for indirect damages. Liability that the law does not allow to be excluded remains unaffected, in particular for intent and gross negligence and for damage to life, physical integrity and health.

9. Data protection

The site uses no cookies and installs no analytics. Personal data processing is described in the Data protection notice, which forms an integral part of these terms.

10. Changes

The Operator may amend these terms. The version in force, with its date, is always the one published on this page. Using the site after a new version is published constitutes acceptance of it.

11. Governing law and jurisdiction

These terms are governed by Swiss law, excluding its conflict-of-law rules and the Vienna Convention on the International Sale of Goods. The courts at the Operator's registered seat have exclusive jurisdiction under art. 17 CPC, subject to mandatory venues and to the cases where art. 35 CPC excludes any waiver of the statutory venue.

The Italian version of these terms and of the privacy notice is authoritative. The English translation is provided for convenience: in case of divergence the Italian text prevails.

12. Severability

If a provision is void or ineffective, the others remain valid, and the void provision is replaced by the valid one that comes closest to the intended purpose.
